These Terms of Service ("Terms") govern your use of Subsettle (the "Service"), operated by [Your legal entity name] ("we", "us"). By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service.

1. The Service

Subsettle is a tool that helps subcontractors track what they've billed, been paid, what's outstanding, and what retainage is owed, with overdue alerts, a per-contractor reliability view, and draft demand letters. It is an informational and organizational tool, not a provider of legal, accounting, tax, or financial advice (see Sections 6–7).

2. Accounts

You must be at least [18] and able to form a binding contract. You're responsible for keeping your login credentials secure and for all activity under your account, and for the accuracy of the information you enter. Notify us promptly of any unauthorized use.

You agree not to: use the Service unlawfully; attempt to access other users' data; reverse-engineer, scrape, or disrupt the Service; resell or sublicense it without permission; or upload unlawful or infringing content. We may suspend accounts that violate these Terms.

5. Demand letters — important

The demand-letter feature produces general-purpose drafts for your convenience. They are not legal advice, and we are not a law firm or your attorney. You are solely responsible for reviewing, editing, and deciding whether and how to send any letter, and for its consequences. For anything contentious or where deadlines, lien rights, or amounts matter, consult a licensed attorney in your jurisdiction.

6. No professional advice

The Service helps you organize and track information you provide. Any totals, alerts, dates, or statistics are derived from the data you enter and may be incomplete or inaccurate. Subsettle does not provide legal, accounting, tax, or financial advice. Your business and financial decisions are your own; verify anything important with your own qualified professionals.

7. Your data

You own the data you enter. You grant us a limited license to store, process, and display it solely to operate the Service for you. You're responsible for the accuracy and legality of the data you add. Our handling of your data is described in our Privacy Policy.

8. Intellectual property

The Service, including its software, design, and the Subsettle name and marks, is owned by us and protected by law. These Terms don't grant you any ownership in it.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT USING IT WILL RESULT IN COLLECTING ANY AMOUNT OWED TO YOU.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE [12] MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify and hold us harmless from claims, losses, and expenses arising out of your use of the Service, your data, the letters you send, or your violation of these Terms or applicable law.

You may stop using the Service and cancel at any time. We may suspend or terminate your access if you breach these Terms or to protect the Service or other users. On termination, your right to use the Service ends; data handling follows the Privacy Policy.
